Jakarta, June 30, 2026 — PT Trimegah Bangun Persada Tbk (NCKL), or Harita Nickel, an integrated and responsible nickel mining and processing company, held its Annual General Meeting of Shareholders (AGMS) for Fiscal Year 2025 and its 2026 Public Expose in Jakarta on Tuesday, June 30, 2026.
<o:p></o:p>At the AGMS, shareholders approved all agenda items proposed by the Company, including the approval of the 2025 Annual Report and Audited Consolidated Financial Statements, the utilization of the Company’s net profit, the appointment of a public accountant, the determination of remuneration for the Board of Directors and Board of Commissioners, the continuation of the Company’s share buyback program, and the report on the utilization of proceeds from the Company’s initial public offering (IPO).<o:p></o:p>
“The approval of all AGMS agenda items reflects shareholders’ support for Harita Nickel’s strategic direction. This trust provides an important foundation for Harita Nickel to continue executing its corporate agenda with discipline, transparency, and a focus on creating sustainable long-term value for shareholders and all stakeholders,” said Rafika Fazrin, Corporate Secretary of Harita Nickel.<o:p></o:p>
Following the AGMS, Harita Nickel held its Public Expose to present updates on the Company’s project development and performance. During the session, the Company reaffirmed its focus on strengthening operational fundamentals, improving efficiency, ensuring supply reliability, and optimizing its integrated nickel value chain amid ongoing dynamics in the global nickel industry.<o:p></o:p>
The Company also continues to advance the completion of strategic projects and optimize its existing production facilities. In addition, Harita Nickel is developing a quicklime production facility as part of its efforts to deepen value chain integration and support long-term operational efficiency.<o:p></o:p>
On the sustainability front, the Company continues to integrate Environmental, Social, and Governance (ESG) principles throughout its business processes through responsible mining and processing practices, strengthened governance and risk management, and an ongoing commitment to transparency and continuous improvement.<o:p></o:p>
The Company also continues to advance initiatives related to decarbonization, integrated environmental management, responsible supply chain governance, biodiversity protection, and community development around its operational areas, including programs in education, healthcare, local economic empowerment, and infrastructure development.<o:p></o:p>

Harita Nickel Completes 2026 Annual General Meeting and Public Expose, Reinforcing Efficiency and Long-Term Value Creation

Jakarta, April 29 2025 – PT Trimegah Bangun Persada Tbk (NCKL), also known as Harita Nickel, a sustainable integrated nickel mining and processing company, continues its operational efficiency efforts by completing the construction of the PT Karunia Permai Sentosa (KPS) ferronickel (FeNi) smelter in January 2025. The first phase of the smelter with Rotary Kiln Electric Furnace (RKEF) technology reached its full capacity in March 2025 and contributed to sales from Harita Nickel’s RKEF line which totaled 43,873 tons of nickel content in FeNi in the first quarter of 2025.
From the mining business line, Harita Nickel made total nickel ore sales of 5.49 million wet metric tons (wmt) to affiliated companies in the first quarter of 2025. Meanwhile, from the High Pressure Acid Leaching (HPAL) line in the same period, sales were recorded at 30,263 tons of nickel content, consisting of Mixed Hydroxide Precipitate (MHP) of 19,837 tons and Nickel Sulfate (NiSO₄) of 10,426 tons.
Citing the financial report for the fiscal period ending March 31, 2025, the company operating in South Halmahera, North Maluku, recorded revenue of IDR 7.13 trillion, gross profit of IDR 2.10 trillion and profit attributable to owners of the parent entity of IDR 1.66 trillion.
The decline in nickel prices over the past two years has left the nickel industry in a challenging condition. S&amp;P Global data shows that nickel prices in 2025 will reach USD 15,078 per metric ton, the lowest point since 2020. Throughout 2024, the average price was recorded at USD 15,328 per metric ton or down 7.7 percent compared to the previous year.
Harita Nickel Finance Director, Suparsin D. Liwan in his press statement stated, “The current condition of the nickel industry has made business players make various efforts to boost operational efficiency, including Harita Nickel. The company continues to tighten operational costs for all business units and focuses on efforts to maintain long-term financial health.”
Another operational strategy carried out is to start construction work on a factory that produces quicklime, as a supporting material for the HPAL process and will increase the efficiency of supporting raw material costs.
Major challenges also still hang over the Indonesian nickel industry, ranging from global geopolitical dynamics, production balance, to strict environmental standards. Realizing this, in addition to efficiency, Harita Nickel also implements sustainability strategies to ensure long-term growth stability by completing the international mining standard audit process of the Initiative for Responsible Mining Assurance (IRMA). This audit will be the first in Asia for an integrated nickel mining and processing company. Previously, the company had also completed the Responsible Minerals Assurance Process (RMAP) from the Responsible Minerals Initiative (RMI). These two audits ensure responsible nickel procurement practices that meet international standards.
Harita Nickel has also completed the Landscape Level Nature Risk Assessment (LNRA) which strengthens environmental management and ensures a transparent approach to sustainable development in new concessions. Harita Nickel's other commitment to accountability and transparency in implementing Environmental, Social and Governance (ESG) principles is demonstrated by publishing its third sustainability report.
Harita Nickel Sustainability Director Lim Sian Choo added, “The Company has successfully increased its use of sustainable energy by 29.8% percent compared to 2023.”
One of Harita Nickel’s emission reduction contributions was by planting 2,025 mangrove seedlings on Obi Island and 1,750 seedlings in Kayoa, South Halmahera, in collaboration with the local government last year.

Prioritizing Sustainability, Harita Nickel (NCKL) Remains Focused on Operational Efficiency

Jakarta, 25 March 2025 -- PT Trimegah Bangun Persada Tbk (NCKL) or Harita Nickel, a sustainable integrated nickel mining and processing company, has completed the construction of its second refinery, PT Obi Nickel Cobalt (ONC), and has been fully operational with commercial production since August 2024, increasing Harita Nickel's low-grade nickel refining capacity to 120.000 tons of MHP per year. In the smelter line, after completing the construction of the second RKEF smelter in 2023, PT Halmahera Jaya Feronikel (HJF), the total installed capacity for ferronickel (FeNi) has reached 120,000 tons of nickel content in FeNi per year.
The company observes that the global nickel industry is still facing challenges and expected to remain tough in the coming years, due to factors such as global economic slowdown, increasing business competition, and rising operational costs resulting from changes in both domestic and international policies. In response, Harita Nickel is addressing these issues by focusing on improving operational efficiency to maintain its competitiveness.
One of the strategies for efficient operations is reflected in the commencement of construction for a factory which will produce quicklime as a supporting material in the HPAL hydrometallurgical process. This is expected to improve the efficiency of raw material support costs. Additionally, the company is also implementing tighter control over operational costs.
As a result of several efficiency efforts made throughout 2024, in the financial report for the fiscal period ending on December 31, 2024, Harita Nickel recorded a revenue of IDR 26.97 trillion, a gross profit of IDR 8.45 trillion, and a net profit attributable to the parent company's shareholders of IDR 6.38 trillion.
From the mining business line, Harita Nickel recorded a total nickel ore sales volume of 23.75 million wmt (wet metric tons) to the company’s affiliate operated in nickel processing and refining. Meanwhile, from the nickel processing and refining business line, the company achieved FeNi sales of 126.344 tons, MHP sales of 63.431 tons, and derivative MHP products, Nickel Sulfate (NiSO4) at 38.622 tons.
Recognizing the challenging conditions in the industry, Harita Nickel will focus on strengthening efficiency, completing ongoing projects, and improving internationally recognized operational standards.
One of the initiatives to enhance international operational standards undertaken by Harita Nickel is completing the audit or assessment process for the international mining standard, the Initiative for Responsible Mining Assurance (IRMA), in line with the Environmental, Social, and Governance (ESG) principles that being implemented by the company.
The Finance Director of Harita Nickel, Suparsin D. Liwan stated that moving forward, the company will also remain focused on efforts to maintain the company's financial health.

Completing Ongoing Projects, Harita Nickel (NCKL) Strengthens Operational Efficiency

Jakarta, 22 November 2024 -- PT Trimegah Bangun Persada Tbk (NCKL) or Harita Nickel, an integrated and sustainable nickel mining and processing company, today announced its financial results for the nine months ending 30 September 2024. The results reflect solid operational performance and steady financial growth amidst global market challenges.
Revenue for the period was recorded at IDR 20.38 trillion, an 18% increase compared to the same period last year, supported by higher production volumes in both mining and processing operations. The company achieved a gross profit of IDR 6.66 trillion, a 9% increase year-on-year, while EBITDA rose 14% to IDR 8.88 trillion. Net profit attributable to the owners of the parent company stood at IDR 4.84 trillion, marking an 8% growth compared to the previous year.
 
Production volumes showed significant improvement, with nickel ore production surpassing 16.27 million wet metric tonnes (wmt), a 12% year-on-year increase. FeNi production from the RKEF smelters reached 95,813 tons, a 39% year-on-year increase, up 39% from the same period in 2023, while HPAL facilities delivered 71,531 tons of MHP Ni, up 47% from the same period in 2023.
 
The second HPAL facility, PT Obi Nickel Cobalt (ONC), began its first production line in April 2024, and all three production lines successfully reached full capacity by August. This achievement contributed significantly to the overall production output of the HPAL facilities and boosted nickel ore sales increase from the mining division. Additionally, the first HPAL facility started producing and exporting electrolytic cobalt in August, further diversifying the company’s product offerings.

Harita Nickel Records Stable Growth in Q3 2024

Jakarta, 31 July 2024 -- PT Trimegah Bangun Persada Tbk (NCKL) or Harita Nickel, an integrated and sustainable nickel mining and processing company, today announced its financial results for the first half of 2024, demonstrating significant growth in both financial and operational performance.
In the first half of 2024, Harita Nickel reported a revenue of IDR 12.80 trillion, marking a significant increase of 25% from IDR 10.24 trillion in the same period last year. This growth was driven by increased production output and higher sales volumes across its mining and processing operations. Harita Nickel's production capacity continued to grow, with increased capacity from its RKEF smelters and HPAL refining facilities. The company's mining operations showed a quarter-over-quarter increase in nickel ore sales, driven by the rising demand for nickel ore for smelters and refining facilities in Harita Nickel's subsidiaries.
 
The company's operational achievements include a significant increase in production output and nickel ore sales volume. Nickel ore sales volume in the first half of 2024 reached 8.37 million wmt, up 29% compared to 6.49 million wmt in the same period last year. RKEF operations saw a 69% year-over-year increase in FeNi production output, reaching 63,414 tons in the first half of 2024, exceeding production capacity. HPAL operations also showed strong performance, with a 28% increase in MHP Ni output compared to the same period last year, totaling 38,334 tons in the first half of 2024. This growth was further supported by the increased production of the refining facilities from PT HPL, which exceeded production capacity, and the second HPAL refining facility, PT ONC, which began production in the second quarter of 2024.
 
Gross profit for the second quarter of 2024 reached IDR 2.205 trillion, up 36% from IDR 1.618 trillion in the first quarter of this year. This increase was also supported by the recovery of global nickel prices in the second quarter, which positively contributed to the company's gross profit. EBITDA increased by 49% to IDR 3.168 trillion in the second quarter of 2024, up from IDR 2.129 trillion in the previous quarter. Net profit attributable to owners of the parent company in this second quarter was IDR 1.805 trillion, up 80% from IDR 1.001 trillion in the first quarter of 2024.

Harita Nickel Sales Grow 25% in the First Half of 2024

Jakarta, 27 June 2024 -- PT Trimegah Bangun Persada Tbk (NCKL) or Harita Nickel, an integrated and sustainable nickel mining and processing company, announced its solid financial performance and operational growth, along with dividend distribution. This was conveyed during the Annual General Meeting of Shareholders (AGMS) and Public Expose held today at Sheraton Grand Jakarta Gandaria City Hotel.
During the RUPST, the company reported revenue of Rp23.86 trillion in 2023, a 149.4% increase from the previous year. Additionally, the company recorded a net profit attributable to the owners of the parent company for the 2023 fiscal year of Rp 5.62 trillion, up 20.4% from the previous year. Based on this profit, the company declared a cash dividend of 30% or approximately Rp1.6 trillion. A reserve fund of 0.18% or Rp10 billion was established, while the remaining profit was recorded as retained earnings to support operational and business development activities.
 
In the AGMS, the shareholders also approved the repurchase of shares issued by the company in accordance with Financial Services Authority (OJK) Regulation No. 29 of 2023. The company will allocate a maximum of IDR 1,000,000,000,000 for this share repurchase plan, with the execution period within 12 (twelve) months after obtaining approval.
 
Harita Nickel’s President Director, Roy Arman Arfandy, emphasized the importance of cautious expansion in facing global challenges. "We are committed to continuing wise investments and developing production facilities that can increase the volume and added value of the products we produce. We will maintain a healthy and strong financial position to anticipate future working capital needs," said Roy.
 
During the Public Expose, Roy also presented the company's operational and financial performance, as well as various ongoing development projects. In the first quarter of 2024, mining production reached 5.88 million wet metric tons (wmt), an increase of 38% from the previous year's period. The production came from two operating mines (PT. TBP and PT. GPS), while three other mines (PT. JMP, PT. OAM, and PT. GTS) are still in the exploration stage.
 
The construction of the HPAL (ONC) facility also showed significant progress. The first production line of this second HPAL facility (ONC) has reached full production capacity by the end of May 2024. The second production line started operations in June 2024, while the third line is scheduled to start in August 2024.
 
Harita Nickel, together with its strategic partner, has also established two new companies, PT Bhakti Bumi Sentosa (BBS) and PT Cipta Kemakmuran Mitra (CKM). PT BBS aims to recycle waste materials from HPAL production into valuable commodities, while PT CKM aims to produce limestone into quicklime to reduce production costs from HPAL facilities.
 
Harita Nickel also reaffirmed the company's commitment to sustainability. In terms of governance and reporting standards, various standards and certifications have been met and are currently in process, including the Initiative for Responsible Mining Assurance (IRMA). IRMA is a comprehensive standard for responsible mining and mineral processing, supported by various stakeholders. The company has completed the self-assessment process and is currently undergoing an audit. In addition to IRMA, the company is also registered as an active facility for the Responsible Minerals Assurance Process (RMAP) by the Responsible Minerals Initiative (RMI) and is currently undergoing an audit for assessment.
 
In addition to governance and reporting standards, Harita Nickel also expressed its commitment to integrating sustainability into ecosystem protection and environmental conservation and various community development and empowerment programs. These programs include health services, education, social and cultural activities, and economic initiatives.

The company will also establish a reserve fund of 0.18% or Rp 10 billion, while the remaining profit will be recorded as retained earnings to support operational activities and business development.
 
The company also presented a report on the realization of the use of funds from the initial public offering (IPO) amounting to approximately Rp 10 trillion, of which Rp 7.7 trillion has been realized.
 
The AGMS also decided on several other agendas, including approval of the company's Annual Report and Ratification of the Audited Consolidated Financial Statements of the Company and its Subsidiaries for the Fiscal Year ending December 31, 2023, the Supervisory Report of the Board of Commissioners for the Fiscal Year 2023, authorization for the Board of Commissioners to appoint a Registered Public Accounting Firm to audit the company's financial statements for the fiscal year ending December 31, 2024, determination of salaries/honoraria and other allowances for the members of the Board of Commissioners and the Board of Directors for the fiscal year 2024, and the Report on the Realization of the Use of Proceeds from the Initial Public Offering.

Harita Nickel Announces IDR 1.6 Trillion in Dividends While Recording a Solid Growth

Jakarta, May 31, 2024 - PT Trimegah Bangun Persada Tbk (NCKL) or Harita Nickel, an integrated and sustainable nickel mining and processing company, has received two awards at the TOP CSR Awards 2024 ceremony held at the Raffles Jakarta Hotel on Wednesday, May 29, 2024. Harita Nickel, operating on Obi Island, North Maluku, received the TOP CSR Award with a 4-star rating and the TOP Leader on CSR Commitment 2024, presented to the President Director of Harita Nickel, Roy A. Arfandy.
Achmad Daniri, chairman of the TOP CSR Awards 2024 Jury, stated that the awards were given after a series of assessments consisting of five main criteria. The award for the Top Leader on CSR Commitment 2024 category is given to appreciate the company leadership's commitment to CSR programs.

"This is an award given to company leaders assessed to have a high commitment to supporting CSR policies and implementation in their companies," said Daniri.

On this occasion, Harita Nickel's Head of External Relations, Latif Supriadi, conveyed that both awards are tangible evidence of the company's commitment to developing and implementing innovative CSR programs. Latif added that Harita Nickel's presence on Obi Island, North Maluku, opens opportunities for the community to grow together.

"This is why we are committed to empowering the local community by involving them as integral partners in our supply chain. By empowering and engaging the community as local suppliers, we create a strong bond between business sustainability and local economic growth," said Latif after receiving the award.

Latif cited one of the economic development programs, the Independence and Empowerment Movement for Village Entrepreneurs (Gemar Papeda). Through this program, 65 local suppliers and 26 farmer groups have been nurtured, leading to the creation of 691 jobs. The company's monthly transaction value from local suppliers reached Rp 13 billion.

Meanwhile, in his speech, the chairman of the TOP CSR Awards 2024 organizers, M. Lutfi Handayani, expressed that these awards contain many shared learning processes to enhance the quality and effectiveness of company CSR. This year, 190 registered companies attended the event, with 152 companies undergoing complete assessments.

Harita Nickel Earns Double Honors for  Innovative CSR Program on Obi Island

Jakarta, 8 Mei 2024 --&nbsp;PT Trimegah Bangun Persada Tbk (NCKL) or Harita Nickel, an integrated and sustainable nickel mining and processing company, secured five awards at the Corporate Social Responsibility (CSR) and Sustainable Village Development (PDB) Awards 2024 held at The Westin Hotel Jakarta on May 7, 2024. The awards were presented by the Vice President of the Republic of Indonesia (RI VP) Ma'ruf Amin and the Minister of Villages, Development of Disadvantaged Regions, and Transmigration (Mendes PDTT) Abdul Halim Iskandar.
From these five awards, Harita Nickel received two for the CSR & Sustainable Village Development program category, two for the individual category with the Excellent title received by Darwan Aduhasan, as the secretary of BUMDes Batu Putih in Buton Village, and individual category with the Outstanding title received by Lukmanul Hakim, as the Agriculture Foreman of Harita Nickel for his role in developing the farmer groups. Apart from that, Harita Nickel also received The Best Silver Achievement award.

Regarding these awards, Latif Supriadi, Head of External Relations Harita Nickel, stated that the achievement reflects the company's commitment and contribution to fostering the growth of village-owned enterprises (BUMDes) and development in the villages around Harita Nickel's operational area.

"We are committed to continuing to support the empowerment of villages, which is the main goal of the Harita Nickel CSR program, directly impacting the economy of the communities in our operational area. The awards are a testament to the program's success and joint efforts to accelerate the development of the villages," said Latif after receiving the awards.

Latif further exemplified that one of Harita Nickel's programs, Buton Sentani (Sentra Ketahanan Pangan Obi), has successfully enhanced the productivity of farmer groups nurtured by Harita Nickel. He mentioned that Harita Nickel, along with the village government, Agricultural Extension Centers, and Bumdes, provided cultivation guidance and support for agricultural facilities and infrastructure to several farmer groups.

Latif added that the company then purchases rice produced from the Sentani program to fulfill the catering needs of Harita Nickel. "The volume of transactions between the community and Harita needs to be increased. Thus, there are still many opportunities for the community to collaborate and potentially become suppliers," added Latif.

Meanwhile, Darwan Aduhasan, the secretary of BUMDes Batu Putih in Buton Village, admitted to collaborating with Harita Nickel since 2021. Darwan stated that the horticulture and food security program in five villages on Obi Island has since developed.

"One example is our rice fields, which initially spanned 3 hectares and have now expanded to 30 hectares. The horticulture crops, which initially covered 1 hectare, have now grown to 5 hectares in each village," said Darwan after receiving the award from th Vice President.

In his speech, Vice President of the Republic of Indonesia Ma'ruf Amin stated that village development is one of the government's focal points for realizing a balanced, developed, and equitable national economic structure. He hoped that the villages, as the smallest governance unit, could become nodes for driving the economic development of the community.

At the same event, Minister of Villages, Development of Disadvantaged Regions, and Transmigration (Mendes PDTT) Abdul Halim Iskandar highlighted the importance of Village-Owned Enterprises (BUMDes) in enhancing the welfare of village residents. This crucial role has been evidenced by the various achievements of BUMDes since the government began focusing on their development in 2021.

The CSR and PDB Award 2024 is an accolade awarded to companies, NGOs, and individuals for their services in accelerating village development through the involvement and development of BUMDes/BUM Desma and other CSR activities. Accelerating the Development of Obi Island Villages, Harita Nickel Sweeps Five CSR and Sustainable Village Development Awards

Jakarta, 28 March 2024 -- PT Trimegah Bangun Persada Tbk (NCKL) or Harita Nickel, a sustainable nickel mining and processing company, today announced its financial achievements for the fiscal year ending December 31, 2023. Amid global challenges, such as the decline in nickel prices and macroeconomic uncertainty, Harita Nickel continued to record strong growth, driven by increased production and operational efficiency.
In 2023, the profit attributable to the owners of the parent entity was IDR 5.62 trillion, up from IDR 4.67 trillion the previous year, marking a 20% growth. This growth reflects effective operational management and stable growth amid a fluctuating market, with a Compound Annual Growth Rate (CAGR) for profit attributable to the owners of the parent entity reaching 170% since the 2020 fiscal year.
 
Moreover, overall in 2023, Harita Nickel recorded revenue of IDR 23.86 trillion, up by 149% from the previous year, and a gross profit of IDR 8.28 trillion, an increase of 77% compared to the previous year.
 
This growth was also driven by increased sales volumes from the nickel ore processing business, including the new smelter PT Halmahera Jaya Feronikel (HJF), a pyrometallurgical-based saprolite (high-grade nickel ore) smelting facility producing ferronickel, and additional production lines from <a href="https://hpalnickel.com/" target="_blank">PT Halmahera Persada Lygend (HPL),</a> a hydrometallurgical-based limonite (low-grade nickel ore) refining facility producing raw materials for electric vehicle batteries. 
From the mining business, Harita Nickel recorded increased nickel ore sales volume of 98%, reaching 15.38 million wmt (wet metric tons), compared to 7.77 million wmt in 2022. This volume consisted of 6.30 million wmt of saprolite, up 235% from 1.88 million wmt, and 9.08 million wmt of limonite, an increase of 54% from 5.89 million wmt.
 
From the nickel processing business, in F23 Hartia Nickel also recorded a 300% increase in ferronickel production, from 25,372 tons in 2022 to 101,538 tons in 2023, and a 50% increase in MHP (mixed hydroxide precipitate) production, a raw material for electric vehicle batteries, from 42,310 tons in 2022 to 63,654 tons in 2023. This also reflects the company's strategic focus on expanding its production capabilities and strengthening its market position.

Amidst Uncertain Global Economy, Harita Nickel Continues to Grow and Perform Strongly in 2023

In the meeting, shareholders approved the second agenda proposed by management, namely a plan for a capital increase through a rights issue by providing pre-emptive rights ("Limited Public Offering"), where the minimum number of shares to be issued is 10%, and up to 30% at the maximum, of the company's currently issued and paid-up capital.
The Limited Public Offering will be executed within a maximum of 12 (twelve) months after obtaining approval in the EGMS, in compliance with applicable capital market regulations, including but not limited to approval from the capital market authority (if required) and the final plan related to the acquisition of shares in the target company.
 
This limited public offering plan is a strategic step taken by Harita Nickel as part of its efforts to continue strengthening sustainable growth and business development. Funds received from this corporate action will be used to support Harita Nickel's business expansion, including but not limited to the acquisition of shares in companies engaged in nickel ore refining and/or other mining companies.
