The Board of Commissioners and the Board of Directors Work Guidelines ("Board Manual”) is a working agreement/commitment between the Board of Commissioners and the Board of Directors which contains a compilation of the corporate law principles, applicable laws, regulations, and the provisions of the association articles regarding the working procedures of the Board of Commissioners and the Board of Directors of PT Trimegah Bangun Persada Tbk, (“TBP” or “the Company”) and apply the best practices of Good Corporate Governance (“GCG”).
This Board Manual is prepared in reference to the prevailing laws and regulations in Indonesia, various detailed provisions contained in TBP's articles of association, and the direction of the Shareholders set out in the General Meeting of Shareholders ("GMS”) described detailed in this Board Manual.
The principles of good faith, full responsibility, and fiduciary duties, skills, and care that are inherent with every personnel in the Board of Commissioners and the Board of Directors are the general principles that must be respected by the TBP organs in charge of supervising and managing TBP.
