Brief Description of TBP

The Company was established under the name of PT Trimegah Bangun Persada under the Deed No. 3 dated 6 September 2004 made before of Erna Priyono, SH., Notary in Jakarta, and has been ratified by the Ministry of Law and Human Rights (”MOLHR”) through Decree Number W7-09399 HT.01.01-TH.2007 dated 27 August 2007. (“Company Deed of Establishment”). 

Since the establishment of the Company, the Company's Article of Association has been amended several times. The latest Article of Association is under Deed No. 145 dated 15 December 2022, made before Jimmy Tanal, S.H., M.Kn., Notary in South Jakarta, which has obtained the Approval of Amendment to the Company’s Articles of Association by MOLHR through Decree No. AHU-0091422.AH.01.02. Tahun 2022 dated 16 December 2022 and the Notification of Amendment to the Company's Articles of Association through Decree No. AHU-AH.01.03-0327459 dated 16 December 2022, as well as the Acceptance of Notification of Amendment to the Article of Association from MOLHR through Decree No. AHU-AH.01.09-0087719 dated 16 December 2022, which collectively registered in the Company Register No. AHU-0253804.AH.01.11.Tahun 2022 dated 16 December 2022 (“Deed No. 145/2022”), and the latest Composition of Board of Commissioners and Board of Directors are contained under the Deed No. 404 dated 27 January 2023, made before Jimmy Tanal, S.H., M.Kn., Notary in South Jakarta, which has obtained the Approval of Amendment to the Company’s Data from MOLHR through Decree No. AHU.AH-01.09-00499376 dated 31 January 2023 (“Deed No. 404”) and the latest Amendment of the Company’s Shareholding Composition are contained in the Deed No. 18 dated 03 May 2023, made before Jimmy Tanal, S.H., M.Kn., Notary in South Jakarta, which has obtained the Acceptance of Notification of Amendment to the Article of Association from MOLHR through Decree No. AHU-AH.01.03-0059867 dated 05 May 2023 (”Deed No. 18/2023”).

The purpose and objectives of TBP's activities in accordance with the provisions of Article 3 of TBP's Articles of Association are to engage in nickel ore mining and industrial estates. To achieve these purposes and objectives, TBP may carry out the following business activities: 

1. Main business activity is consisting of Nickel Ore Mining and Real Estate; 
2. Business support activity is consisting of Non-ferrous Base Metal Industry, Laboratory Testing Services and Other management consulting activities. 

TBP is the proponent and initiator of the National Strategic Project (PSN) under the Coordinating Minister for Economic Affairs Regulation No. 21 of 2022 concerning the Second Amendment to the Coordinating Minister for Economic Affairs Regulation No. 7 of 2021 concerning Amendments to the List of National Strategic Projects as an amendment to Presidential Regulation No. 109 of 2020 concerning the Third Amendment to Presidential Regulation No. 3 of 2016 concerning the Acceleration of the Implementation of National Strategic Projects.
